(Company or Transferee Company) in its meeting held on Tuesday, December 7, 2021 has inter-alia accorded its approval for the merger/amalgamation of Lanco Teesta Hydro Power Limited (Transferor Company), which is a wholly owned subsidiary of the Company, with the Company under Section 230-232 of the Companies Act, 2013 and other statutory provisions as per the terms and conditions mentioned in the Scheme of Amalgamation (Scheme).The Scheme will be filed with the relevant regulatory authorities including Ministry of Corporate Affairs or any other appropriate authority for their approval and sanction.
