The Board has also approved amalgamation of the 100% subsidiaries Parry and Company Ltd. and The Mofussil Warehouse & Trading company Ltd, with EID Parry (India) Ltd. w.e.f. April 01, 2003 (being the appointed date). Since the concerned companies are 100% subsidiaries of EID Parry, the question of valuation and exchange ratio does not arise. The demerger and amalgamation would be implemented under a Composite Scheme of Arrangement (Demerger) and Amalgamation. EGM 07/08/2003 - As per the direction of the High Court at Madras for the scheme of arragement (demerger) between the demerged company and Coromandel Fertilizers Ltd. and the scheme of amalgamation of Parry and Co. Ltd., Mofussil Warehouse & Trading Co. Ltd. with the company. (As Per BSE Bulletin Dated on 16/07/2003) The company has informed that the Hon'ble High Courts at Madras & Andhra Pradesh have sanctioned the Scheme of Arrangement for demerger of Farm Inputs division of the company to Coromandel Fertilsers Ltd. and the amalgamation of Parry & Company Ltd. and Mofussil Warehousing and Trading Co.
