we wish to inform you that the Board of directors of Bharti Airtel limited, in its meeting held on Wednesday, April 14, 2021, has approved the Composite scheme of arrangement between Bharti Airtel Limited, Nettle Infrastructure Investments Limited, Airtel Digital Limited, Telesonic Networks Limited and Airtel Limited and their respective shareholders and creditors under sections 230 to 232 and other applicable provisions of the Companies Act, 2013 ('Scheme'). The details as required to be disclosed under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular dated September 9, 2015, are enclosed 'Annexure A'. Further to our intimations dated April 14, 2021 and in terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), we enclose following in reference to the meeting of Board of Directors of the Company held today i.e. Tuesday, January 04, 2022: a) Statement being issued by the Company w.r.t. update on the scheme of arrangement for new corporate structure. (Annexure A) b) Details as required to be disclosed under Regulation 30 of the Listing Regulations read with SEBI Circular dated September 9, 2015. (As Per BSE Announcement dated on 04.01.2022) Pursuant to the Order dated June 02, 2022 of Hon'ble National Company Law Tribunal, Chandigarh Bench ('NCLT'), the Company has dispatched the notices to its Equity Shareholders and Unsecured Creditors in the manner specified in the said order, seeking their representation, if any, on the Scheme. The aforesaid notices of Equity Shareholders and Unsecured Creditors are enclosed herewith as Annexure A and Annexure B, respectively and are also available on the Company's website. It is submitted that the Hon'ble NCLT has dispensed with the requirement to convene the meetings of Equity Shareholders and Creditors of the Company. Kindly take the same on record. (As Per BSE Announcement Dated on 15.06.2022) In terms of Regulation 30 of SEBI Listing Regulations, we wish to inform you that upon approval of Hon'ble National Company Law Tribunal, Chandigarh Bench, vide its order ('NCLT order') received on January 25, 2023 in certified copy, the Composite scheme of arrangement between Nettle Infrastructure Investments Limited ('Nettle'), Telesonic Networks Limited ('Telesonic') and their respective shareholders and Bharti Airtel Limited ('Company'), under sections 230 to 232 and other applicable provisions of the Companies Act, 2013 for amalgamation of Nettle and Telesonic, wholly-owned subsidiaries with the Company ('Scheme'), has become effective from Wednesday, February 01, 2023.
