Godrej Properties Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 09, 2016, inter alia, has approved two Schemes of Amalgamation under section 391 - 394 of Companies Act, 1956, as mentioned below: 1. Amalgamation of Happy Highrises Limited, Wholly Owned Subsidiary with Godrej Properties Limited; and 2. Amalgamation of Godrej Vikhroli Properties Limited (a Company which is in the process of being incorporated with this name or any other name approved by Registrar of Companies, Ministry of Corporate Affairs, pursuant to conversion of Godrej Vikhroli Properties LLP into a company limited by shares under the provisions of Section 366 of Chapter XXI (Part 1) of the Companies Act, 2013) with Godrej Properties Limited. 100% stake of Godrej Vikhroli Properties LLP is held by Godrej Properties Limited directly and through its wholly owned subsidiaries. The Schemes are subject to requisite statutory / regulatory approvals including directions and approval of the Hon'ble High Court of Bombay or the National Company Law Tribunal (NCLT) and/or such other appropriate authority, as may be applicable.
