Kpit Cummins Infosystems Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 26, 2007, has considered and approved the following major proposals: Approving the Scheme of Amalgamation for merger of Company's wholly owned subsidiary namely KPIT Cummins Infosystems (Bangalore) Pvt Ltd with the Company, under the provisions of the sections 391 and 394 of the Companies Act, 1956. Kpit Cummins Infosystems Ltd has informed BSE that at the Court Convened Meeting of shareholders (as directed by the Hon'ble High Court of Judicature at Bombay) held on November 16, 2007, have approved the Scheme of Amalgamation of its wholly owned subsidiary namely KPIT Cummins Infosystems (Bangalore) Pvt Ltd (the Transferor Company), with the Company (the Applicant Company / Transferee Company).
