In compliance with Regulation 30 read with Schedule III of the Listing Regulations, we wish to inform that the Board of Directors of the Company ('the Board') at its meeting held today, i.e. March 23, 2023 has considered and approved the following: 1. Draft Scheme of Arrangement between Cravatex Brands Limited ('Demerged Company') and the Company and their respective Shareholders and matters related thereto under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 ('Act') ('Scheme'). We refer to our disclosure under Regulation 30 of the Listing Regulations dated March 23, 2023 in relation to the Scheme of Arrangement between Cravatex Brands Limited ('Demerged Company' or 'CBL') and Metro Brands Limited ('Company' or 'Resulting Company' or 'MBL') and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 ('Scheme'). Pursuant to Regulation 37(6) read with SEBI Master Circular dated November 23, 2021 bearing reference no. SEBI/HO/CFD/DIL1/CIR/P/2021/0000000665, please find attached the draft Scheme along with the copy of resolutions passed by the Board of Directors of the Demerged Company and the Company, respectively, approving the said draft Scheme. Kindly note that the Company along with the Demerged Company will file necessary application(s) in connection with the Scheme with the Hon'ble National Company Law Tribunal. Modified Scheme of Arrangement pursuant to change of name of the Demerged Company from ''Cravatex Brands Limited'' to ''Metro Athleisure Limited'' (As Per BSE Announcement Dated on 19.07.2023) NCLT vide its order has sanctioned the Scheme of Arrangement (As Per BSE Announcement dated on 15.03.2024) In the matter of Scheme of Arrangement between Metro Athleisure Limited (formerly known as Cravatex Brands Limited) and Metro Brands Limited, the Company has today i.e. on 27th March 2024, obtained the certified true copy of the order dated 14th March 2024 as passed by NCLT. The said certified copy of the Order and Scheme is enclosed herewith. (As per BSE Announcement Dated on 27/03/2024) The Demerged Company (Metro Athleisure Limited (Formerly Cravatex Brands Limited)) and the Company have today filed the certified true copy of the order as passed by NCLT and Scheme with the Registrar of Companies and accordingly the effective date of the Scheme is 1 April 2024.
