With reference to the earlier letters dated May 18, 2016 & September 17, 2016, Torrent Power Ltd has now informed BSE that the Hon'ble High Court of Gujarat, vide its Oral order dated October 14, 2016 (placed on website of the Hon'ble High Court of Gujarat on October 17, 2016), has sanctioned the Scheme of Arrangement in the nature of Transfer and vesting of the Solar Energy Undertaking as well as Wind Energy Undertaking of Torrent Solargen Limited by way of slumpsale to Torrent Power Limited. The certified copy of the High Court order is awaited. Torrent Power Ltd has informed BSE that the Company has received the Certified Copy of the Order of the Hon'ble High Court of Gujarat sanctioning the Scheme of Arrangement which provides for the Transfer and vesting of the Solar Energy Undertaking as well as Wind Energy Undertaking of Torrent Solargen Limited by way of slump sale to Torrent Power Limited pursuant to the provisions of Sections 391 to 394 and other relevant provisions of the Companies Act, 1956/Companies Act, 2013 (to the extent notified). The said Order shall be filed with the Registrar of Companies within the prescribed timelines. The Company will also submit the requisite documents to the Stock Exchanges as per their respective observation Letters pursuant to SEBI Circular No. CIR/CFD/CMD/16/2015 dated November 30, 2015 in due course. (As Per BSE Announcement Dated on 19.11.2016) With reference to the earlier letter dated November 18, 2016, Torrent Power Ltd has informed BSE that the Company has filed the Certified Copy of Order of Hon'ble High Court of Gujarat, sanctioning the Scheme of Arrangement which provides for the Transfer and vesting of the Solar Energy Undertaking as well as Wind Energy Undertaking of Torrent Solargen Limited by way of slump sale to Torrent Power Limited, with the Registrar of Companies, Gujarat, Dadra and Nagar Haveli at Ahmedabad on December 01, 2016 and accordingly the Scheme has become effective on December 01, 2016 with Appointed Date being April 01, 2015.
