Lancor Holdings Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 30, 2014, have considered and approved the amalgamation of Lancor Realty Limited (a wholly owned subsidiary) and Lancor GST Developments Limited (a wholly owned subsidiary) with the Company on the basis of the recommendations received from the Audit Committee of the Board which has examined the draft Scheme and accordingly recommended that the said Scheme in the best interest of the shareholders, creditors and other stakeholders. Upon the coming into effect of this Scheme, since both the Transferor Companies are wholly owned subsidiary of the Transferee Company, no equity shares or other shares of the Transferee Company shall be allotted in lieu or exchange of holding of the shares in the respective Transferor Company by the Transferee Company and the share capital of the Transferor Company shall stand cancelled and extinguished with that of the investment of the Transferee Company without any further act or deed with effect from the Appointed Date i.e. April 01, 2013. The Scheme is subject to requisite consent/ approval of the lenders, creditors of the Company, and sanction of the Hon'ble High Court of Judicature at Madras and the permission or approval of any other statutory or regulatory authorities under the provisions of all applicable laws as may be necessary for the implementation of the Scheme. Lancor Holdings Ltd has submitted to BSE a copy of the Newspaper Advertisement issued by the Company in connection with Scheme of Amalgamation of Lancor GST Developments Limited and Lancor Realty Limited (wholly owned subsidiaries) with Lancor Holdings Limited.
