Godrej Consumer Products Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on July 29, 2016 approved the scheme of amalgamation of Godrej Consumer Products Mauritius Limited ( GCPML ) and Godrej Consumer Products US Holding Limited ( GCPUSHL ) with Godrej Consumer Products Limited ( GCPL ) and their respective shareholders. Since GCPML and GCPUSHL are directly or indirectly wholly-owned subsidiaries of the Company, no shares will be issued as consideration for the amalgamation. The Scheme of Amalgamation is subject to requisite statutory / regulatory approvals in India and Mauritius, including directions and approval of the Hon'ble High Court of Bombay or the National Company Law Tribunal (NCLT) and/or such other appropriate authority, as may be applicable and the Supreme Court of Mauritius. The Scheme of Amalgamation of Godrej Consumer Products US Holding Limited and Godrej Consumer Products Mauritius Limited [wholly owned subsidiaries of GCPL] with GCPL was sanctioned by the Hon'ble National Company Law Tribunal, Mumbai Bench on 8th March, 2018. This is to inform you that the Scheme has become effective post filing of e-Form INC-28, yesterday evening, i.e. 26th March, 2018 with the Registrar of Companies / Ministry of Corporate Affairs.
