Hindustan Lever Ltd has informed BSE that pursuant to the order of the Hon'ble High Court of Judicature at Bombay a meeting of the equity shareholders of the Company will be held on October 30, 2006, for the purpose of considering and if thought fit, approving with or without modification(s), the Scheme of Arrangement proposed to be made between the Company, Shamnagar Estates Pvt Ltd, Jamnagar Properties Pvt Ltd, Hindustan Kwality Walls Foods Pvt Ltd and their respective Shareholders and Creditors for the demerger and transfer of certain Demerged Units of the Company to Shamnagar Estates Pvt Ltd, Jamnagar Properties Pvt Ltd and Hindustan Kwality Walls Foods Pvt Ltd, respectively. Hindustan Lever Ltd has informed BSE that the members at their Court convened Meeting held on October 30, 2006 have approved the Scheme of Arrangement for the demerger and transfer of certain Units of the Company to Shamnagar estates Pvt Ltd, Jamnagar Properties Pvt Ltd and Hindustan Kwality Walls Foods Pvt Ltd respectively, with requisite majority. (As per BSE Announcement website dated on 31/10/2006) Hindustan Lever Ltd has informed BSE that with reference to the proceedings of the Court Convened Meetings of the Company held on October 30, 2006, to approve: The Scheme of Arrangement between the Company, Shamnagar Estates Pvt Ltd, Jamnagar Properties Pvt Ltd and Hindustan Kwality Walls Foods Pvt Ltd for the transfer of certain Units of the Company to Shamnagar Estates Pvt Ltd, Jamnagar Properties Pvt Ltd and Hindustan Kwality Walls Foods Pvt Ltd respectively. Further the Company has informed that, with all the requisite approvals having been obtained, and filing of Orders with Registrar of Companies, the process of: demerger and transfer of certain Units of the Company to Shamnagar Estates Pvt Ltd, Jamnagar Properties Pvt Ltd and Hindustan Kwality Walls Foods Pvt Ltd (now known as Daverashola Estates Pvt Ltd), (the Resulting Companies) respectively, has been completed on March 29, 2007. As per the Order, the Demerged Units as defined in the Scheme are being transferred to the Resulting Companies from the Company, the Demerged Company.
