The Board of the Company has also decided that the business of its wholly owned subsidiary namely lsagro (Asia) Agrochemicals Pvt. Ltd.{'lsagro') shall be reorganised such that the domestic distribution business undertaken by lsagro will be transferred to Jivagro Limited, wholly owned subsidiary of PI Industries Ltd.('PIIL') and rest of the activities will be merged into PilL. This re-organisation will be undertaken w.e.f date of the acquisition of lsagro business by Pill viz. December 27, 2019 through scheme of reorganisation to be filed before the NCLT. Accordingly, Board in its meeting today approved the Scheme of Amalgamation between lsagro and PilL. and their respective shareholders under the provisions of Section 230 to 232 and other applicable provisions of the Companies Act, 2013 and rules framed thereunder. The details in this regard as required under SEBI Circular NO. CIR/CFD/CMD/4/2015 dated 09, September 2015 are furnished separately.
