JSW Energy Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 23, 2010, inter alia, has taken the following decisions: 1. Scheme of Amalgamation of JSW Energy (Ratnagiri) Ltd ('JSWERL') with JSW Energy Ltd ('JSWEL') and their respective shareholders and creditors: - The Board of Directors considered and approved a Scheme of Amalgamation of JSW Energy (Ratnagiri) Ltd ('JSWERL') with JSW Energy Ltd ('JSWEL') and their respective shareholders and creditors ('the scheme') u/s 391 to 394 of the Companies Act, 1956. The salient features of the Scheme is as under: (i) Appointed date for the Amalgamation is April 01, 2010. (ii) The scheme does not envisage any issue of shares, since JSWERL is a wholly owned subsidiary of the Company. (iii) The scheme is subject to requisite consent, approvals of the requisite majority of shareholders, lenders, creditors, of respective companies, the relevant Stock Exchanges, the Bombay High Court, and the permission or approval of the Central Government or any other statutory or regulatory authorities, which by law may be necessary for the implementation of the Scheme. (iv) The board of JSWERL has also met on July 22, 2010 independently and has approved the scheme. JSW Energy Ltd has informed BSE that Hon'ble High Court of Judicature at Bombay has at the hearing held on September 24, 2010, approved the Scheme of Amalgamation of JSW Energy (Ratnagiri) Ltd. ( Transferor Company) with JSW Energy Ltd. (the Transferee Company) and their respective shareholders and creditors ('Scheme'). The Certified copy of the order approving the Scheme is expected to be received in due course. The Scheme will become effective upon filing the certified copy of the order with the Registrar of Companies. The appointed date for the merger is April 01, 2010. (As Per BSE Announcement Dated on 27.09.2010) With reference to earlier announcement regarding the order of Hon'ble High Court of Judicature at Bombay sanctioning the Scheme of Amalgamation of JSW Energy (Ratnagiri) Limited (the Transferor Company) with JSW Energy Limited (the Transferee Company) and their respective shareholders and creditors on September 24, 2010, JSW Energy Ltd has now informed BSE that the Company has received the Certified True copy of the Hon'ble High Court Order. Further the Company has informed that, on November 02, 2010, the Company have filed the Hon'ble High Court Order with the office of the Registrar of Companies, Mumbai, Maharashtra and the Scheme of Amalgamation as above has thus become effective on November 02, 2010 with the appointed date being April 01, 2010.
