GSS Infotech Ltd has informed BSE that the Board of Directors of the Company at its meeting held on December 04, 2021. Further to our Intimation dated 21-12-2021 and pursuant to Regulation 30(2) of Listing Regulations read with Para A of Schedule III, we wish to inform you that a meeting of the Board of Directors of the Company was held today i.e., 24-12-2021, wherein the Board by unanimous resolutions, approved the following, subject to consent of shareholders of the Company, stock exchanges and other regulatory authorities: a) Draft Scheme of Merger of Polimeraas Agros Private Limited (presently Polimeraas Agros LLP which is in the process of converting into Polimeraas Agros Private Limited pursuant to Section 366 of the Companies Act, 2013), with GSS Infotech Limited. It may also be noted that the proposed Scheme has been reviewed by the Audit Committee and upon its recommendation approved by the Board in its meeting held on today i.e 24th December 2021. (As Per BSE Announcement dated on 24.12.2021) With reference to the above mentioned subject, we are attaching herewith the 'No Observation Certificate' (NOC) received from the stock exchanges i.e- The National Stock Exchange of India Limited and The BSE Limited under Reg 94 of SEBI (LODR), 2015 pertaining to the filing of petition with the NCLT as regards to the Scheme of Merger of 'Polimeraas Agros Private Limited' with 'GSS Infotech Limited.'
