The co. has informed BSE that the Board of Directors of the Company at its meeting held on July 11, 2005, has approved, subject to receipt of necessary approvals, a proposal for merger of Kshema Technologies Ltd (a wholly owned subsidiary of the Company) with the Company. Mphasis Bfl Limited has informed the Exchange that by an Order made on August 29, 2005, the Hon'ble High Court at Karnataka has directed that a meeting of the Creditors of Mphasis BFL Limited, the Applicant Company, be held on September 29, 2005 for the purpose of considering and if thought fit approving, with or without modification(s), the Scheme of Amalgamation and Arrangement where under Kshema Technologies Limited is proposed to be merged with the Applicant Company and thesecurities premium account of the Applicant Company be utilized for the writing off of goodwill, if any, arising on account of the proposed amalgamation. (As per NSE Bulletin dated 12/09/2005) The company has informed that the equity shareholders and creditors of the Company at thier court convened meeting, as directed by Karnataka High Court, held on September 29, 2005, have approved the Scheme of Amalgamation and Arrangement between the Company and Kshema Technologies Ltd, the results of the meeting are as follows : 1. The equity shareholders approved the Scheme by requisite majority. 2. The creditors approved the Scheme unanimously. (As per BSE Bulletin dated on 03/10/2005) Mphasis Bfl Limited has informed the Exchange that the Karnataka High Court had directed the Company to convene separate meetings of the equity shareholders and creditors on September 29, 2005 for approving the Scheme of Amalgamation and Arrangement between Mphasis BFL Limited and Kshema Technologies Limited and their respective shareholders ("the Scheme"). The Company has now informed that the Company has duly conducted the aforesaid meetings as directed by the High Court and has informed the results of the meetings, which are as follows: (1) The meeting of the equity shareholders approved the Scheme by requisite majority; and (2) The meeting of the creditors approved the Scheme unanimously.
