Just Dial Ltd has informed BSE that the Board of Directors at its meeting held on August 16, 2016 has approved a Draft Scheme of Arrangement between Just Dial Limited ('the Company' or 'JDL' or 'Just Dial') and Just Dial Global Private Limited (JDGPL) for demerger of Data and Information Undertaking ('Demerged Undertaking') of JDGPL into the Company, subject to requisite approvals. Just Dial Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 16, 2016, inter alia, has transacted the following; 1. Considered and approved the following proposal: - The demerger of the Data and Information Undertaking of JDGPL ('Demerged Undertaking') and vesting of the same in Just Dial, as a going concern, under Sections 391-394 read with Section 78 (Corresponding Section 52 of the Companies Act, 2013) and Section 100 to Section 103 of the Companies Act, 1956 or any corresponding provisions of the Companies Act, 2013 as may be applicable ('Scheme'). The appointed date of the Scheme is October 01, 2016; - As consideration for transfer and vesting of the Demerged Undertaking, Just Dial would issue 6% Redeemable Preference Share of Re. 1/- each (RPS') to the equity shareholders of JDGPL, credited as fully paid up, for every 1 equity share of Rs. 10/- each held in the JDGPL and such RPS shall be redeemable at par. This is to inform you that National Company Law Tribunal, Mumbai Bench has approved the Scheme of Arrangement between Just Dial Limited ('Company') and Just Dial Global Private Limited and their respective shareholders and creditors ('Scheme') on March 22, 2017. The Company is awaiting the receipt of the certified copy of the order from the National Company Law Tribunal, Mumbai Bench. The Scheme will come into effect upon filling certified true copy of order with the Registrar of Companies at Mumbai, Maharashtra. This intimation is for your information and record.
