In continuation to our intimation dated 13 June 2017, this is to inform you that the Board of Directors at its meeting held today i.e. 20 June 2017 has inter alia considered and approve the Scheme of Merger of Magma Advisory Services Limited (Wholly Owned subsidiary Company) with Magma Fincorp Limited (the Company') In continuation to our earlier intimation dated 20 June 2017 and in terms of SEBI Circular No. CFD/DIL3/CIR/2017/21 dated 10 March 2017, please find enclosed herewith the Scheme of merger along with a report of Audit Committee dated 20 June 2017 on the proposed merger of Magma Advisory Services Limited (Wholly Owned Subsidiary Company) with the Company as approved by the Board of Directors of the Company at its meeting held on 20 June 2017. Ref: Letter dated 23 June 2017 w.r.t. submission of Scheme of merger along with a report of Audit Committee on the proposed merger of Magma Advisory Services Limited (Wholly Owned Subsidiary Company) with the Company in terms of SEBI Circular No. CFD/DIL3/CIR/2017/21 dated 10 March 2017 (As Per BSE Announcement Dated on 29.07.2017) With reference to our earlier letter dated 23 June 2017 on the captioned subject, this is to inform you that the Central Government through Regional Director, Eastern Region, Ministry of Corporate Affairs has passed a Confirmation Order dated 15 January 2018 pursuant to the provisions of Section 233 of the Companies Act, 2013 approving the merger of Magma Advisory Services Limited (MASL) (Wholly Owned Subsidiary of the Company) with Magma Fincorp Limited ('the Company'). By virtue of the said merger, Magma Housing Finance Limited (earlier a Wholly Owned Subsidiary of MASL and Step down Subsidiary of the Company) has now become a direct wholly owned subsidiary of the Company.
