IGL/SE/2025-26/05, in relation to the Scheme of Arrangement involving the demerger, transfer and vesting of the Demerged Undertaking (as defined in the Scheme) from the Company (as defined in the Scheme) into the Ennature Bio Pharma Limited (as Resulting Company 1) and IGL Spirits Limited (as Resulting Company 2) and their respective shareholders ('Scheme'), we wish to inform you that; a) the Scheme will not be impacted in any manner except that reference to the face value Rs. 10/- each equity share set out in the Scheme will be updated to face value of Rs. 5/- each equity share; and b) accordingly, under the Scheme, the reference to the face value of equity shares in the capital structure of the respective companies and the exchange ratio in relation to the demergers will be updated.
