Deepak Fertilisers & Petrochemicals Corporation Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 05, 2015, has, as recomnended by the Audit Committee, approved the proposed Scheme for Amalgamation of SCM Soilfert Limited with Deepak Ferrilisers And Petrochemicals Corporation Limited, and their respective Shareholders ('Scheme of Amalgamation' or 'Scheme'), subject to all relevant approvals. The Board of Directors of SCM Soilfert Limited has also approved the Scheme of Amalgamation at its meeting held on November 05, 2015. The Appointed date of the draft Scheme of Amalgamation is fixed as April 01, 2015. With reference to the above captioned matter, we would like to inform you that the Hon'ble National Company Law Tribunal, Mumbai Bench has passed the Order dated 22nd June, 2017 sanctioning the Scheme of Amalgamation between SCM Soilfert Limited, a Wholly Owned Subsidiary of Deepak Fertilisers And Petrochemicals Corporation Limited and Deepak Fertilisers and Petrochemicals Corporation Limited and their respective Shareholders ('Scheme') and an authenticated copy of the said Scheme has now been received by the Company. The said Order is available on the website of the Company. The Company shall file the said order with the Registrar of Companies as required under the Companies Act 2013.
