The Board has approved the amalgamation of Finolex Wire Products Ltd & Finolex Cables Ltd with the Company.& To set up a new project to manufacture & market electrical switches. (As per BSE bulletin dated on 12/05/2005) The company has informed that pursuant to the order of High Court of Judicature at Bombay a meeting of equity shareholders of the Company will be held on July 05, 2005, immediately on conclusion of the Annual General Meeting of the Company scheduled to be held on July 05, 2005, for purpose of considering and, if thought fit, approving, with or without modification, the arrangement embodied in the Scheme of Amalgamation proposed to be entered into between Finolex Wire Products Ltd and Finolex Finance Ltd (Transferor Companies) with the Company. (As per BSE Bulletin dated on 16/06/2005) The company has informed that a petition dated uly 12, 2005, under Section 391 and Section 394 of the Companies Act, 1956 for sanctioning the Scheme of Amalgamation between Finolex Wire Products Ltd and Finolex Finance Ltd, with the Company, presented by Finolex Wire Products Ltd, the Petitioner Company on July 12, 2005 and the said Petition was admitted by the Hon'ble High Court of Judicature at Bombay on July 15, 2005 and the said Petition is fixed for hearing before the Company Judge on August 26, 2005.
