To sell and transfer 7,14,000 Equity Shares of Greaves Morganite Crucible Limited (GMCL) representing 25.5% Equity of GMCL, inter se to Morganite Crucible Limited, one of the Co-Promoters of GMCL, at a price of Rs.150/-
per share. (2) To transfer the Distribution Business for GMCL products to GMCL for a consideration of Rs.5,54,00,000 (Rupees Five Crores Fifty Four Lakhs Only).
