Approved the merger of Whytehall India Ltd. and Anab-e-Shahi Wines & Distilleries Pvt. Ltd. 100% subsidiaries of the company with the company Radico Khaitan Limited has informed the Exchange that Hon'ble High Courts of Allahabad, Delhi and Andhra Pradesh have approved the Scheme of Amalgamation of Whytehall India Ltd. (WIL) and Anabeshahi Wines and Distilleries Pvt. Ltd. (AES) with Radico Khaitan Ltd. (RKL) vide their Orders dated August 23, 2005, March 10, 2005 and March 17, 2005 respectively. The orders received from all the three High Courts, have since been filed with the Registrar of Companies, Uttar Pradesh and Uttaranchal at Kanpur on September 14, 2005 in case of RKL, Registrar of Companies, Delhi on September 09, 2005 in case of WIL and Registrar of Companies, Andhra Pradesh at Hyderabad in case of AES on May 26, 2005. Therefore, in terms of Section 391 / 394 of the Companies Act, 1956, the Scheme of Amalgamation comes into force w.e.f. September 14, 2005 and the Companies stands merged w.e.f.
