Shimoga Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 26, 2012, have approved extension of lease of Plant and Machinery of the Company to Smiths & Founders (India) Limited for a further period of 3 years subject to Shareholders approval OR Until sanction of Rehabilitation Scheme, which envisages inter alia amalgamation of Smiths & Founders (India) Limited with the Company, by the Hon'ble BIFR, whichever is earlier. Shimoga Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 31, 2013, inter alia, have : - Taken note of the withdrawal of consent accorded by Smiths & Founders (India) Ltd for its merger with Shimoga Technologies Ltd consequent to direction of the Hon. BIFR for scaling down the capital reduction of the Company from the proposed 90% to 60%. (As Per BSE Announcement Dated on 01.02.2013) Shimoga Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 25, 2014, inter alia, have considered and taken on record Rehabilitation Scheme of the Company sanctioned by the Hon. Board for Industrial and Financial Reconstruction. The Rehabilitation Scheme envisages: 1. Reduction of existing Share Capital by 90%. 2. Merger of Smiths & Founders (India) Limited, an Unlisted Public Limited Company into Shimoga Technologies Limited. (As Per BSE Announcement Dated on 25.02.2014) Shimoga Technologies Ltd has informed BSE that consequent to amalgamation of Smiths and Founders (India) Limited with Shimoga Technologies Ltd. as per the Scheme of Rehabilitation sanctioned by the Hon.
