Lupin Ltd has informed BSE that Lupin Pharmacare Ltd. and Lupin Herbal Ltd., wholly-owned subsidiaries of Lupin Ltd., have filed Applications before the Mumbai High Court, to amalgamate themselves with Lupin Ltd. w.e.f. April 01, 2009 ('Appointed Date'). Further the Company has informed that, Novodigm Ltd., another wholly-owned subsidiary of Lupin Ltd., will shortly be filing an Application before the Ahmedabad High Court, to amalgamate itself with Lupin Ltd. w.e.f. April 01, 2009 ('Appointed Date'). The 'Effective Date' of amalgamation would be the date on which copies of the Orders passed by the Hon'ble High Courts of Mumbai and Ahmedabad sanctioning the Scheme of Amalgamation are filed with the Registrar of Companies, Maharashtra and Gujarat respectively. Lupin Ltd has informed BSE that the Hon'ble Bombay High Court sanctioned the scheme of amalgamation of Lupin Pharmacare Ltd and Lupin Herbal Ltd (transferor Companies), wholly-owned subsidiaries of Lupin Ltd, with Lupin Ltd (Transferee Company) w.e.f. April 01, 2009 ('Appointed Date'). The Hon'ble High Court of Gujarat at Ahmedabad also sanctioned the scheme of amalgamation of Novodigm Ltd (Transferor Company), another wholly-owned subsidiary of Lupin Ltd, with Lupin Ltd (Transferee Company) w.e.f.
