Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), we wish to inform you that the Board of Directors of the Company, at its meeting held today, has approved the Scheme of Amalgamation ('Scheme') under the provisions of Section 234 read with Sections 230 to 232 of the Companies Act, 2013 for the merger of Bio Energy Venture 1 (Mauritius) Pvt. Ltd., a wholly owned subsidiary of the Company, with the Company, subject to such approvals as may be required. The merger is subject to the necessary statutory and regulatory approvals, including approval of the National Company Law Tribunal. Re: Corrigendum to intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 dated March 23, 2018 This is with reference to Annexure 1 of the disclosure pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), 2015 dated March 23, 2018 regarding the merger of Bio Energy Venture 1 (Mauritius) Pvt. Ltd. with Tata Chemicals Limited. In Table Number 2 of Point Number 1 (Name of the entities forming part of the amalgamation/merger, details of brief such as size, turnover etc.) the term 'Total Revenue for nine months ended March 31, 2017' be read as 'Total Revenue for the year ended March 31, 2017'. (As Per BSE Announcement Dated On 26/03/2018) This is in furtherance to our earlier letter dated February 7, 2020 relating to the aforesaid Scheme. As earlier informed, the Scheme has become operative. Pursuant to above, this is to inform you that a fresh 'Certificate of Incorporation Consequent upon Change of Name' [pursuant to rule 29 of the Companies (Incorporation) Rules, 2014] of the Company from 'Tata Global Beverages Limited' to 'Tata Consumer Products Limited' in terms of the above Scheme has been issued by the Office of the Registrar of Companies, West Bengal effective from February 10, 2020. The said Certificate is been annexed with this letter. The name of the Company thus stands changed to 'Tata Consumer Products Limited' from February 10, 2020 and the Memorandum and A1ticles of Association of the Company stands amended accordingly. Ltd, a wholly owned subsidiary of the Company (Transferor Company) by Tata Chemicals Limited (Transferee Company) and their respective shareholders (As Per BSE Announcement Dated on 24.04.2020) This is furtherance to our letter dated April 24, 2020, wherein we had intimated that the Scheme of Merger by Absorption of Bio Energy Venture - 1 (Mauritius) Pvt. Ltd (a 100% subsidiary of the Company) by Tata Chemicals Limited has been approved by NCLT Mumbai vide its Order dated April 23, 2020. We are now in receipt of a letter dated June 1, 2020 (received on June 2, 2020) from the Registrar of Companies at Mauritius confirming that the name of Bio Energy Venture - 1 (Mauritius) Pvt. Ltd. has been removed from the Register of Companies at Mauritius w.e.f. April 23, 2020. The Scheme of Merger by Absorption is effective from June 1, 2020 and the Appointed Date of the Scheme is April 1, 2019. (As Per BSE Announcement dated on 02.06.2020) Further to our letters dated April 24, 2020 and June 2, 2020, we would like to inform that Tata Chemicals Limited is in receipt of a revised letter from the Registrar of Companies at Mauritius stating that the name of Bio Energy Venture - 1 (Mauritius) Pvt. Ltd. had been removed from the Register of Companies at Mauritius w.e.f. June 1, 2020. Accordingly, the Scheme of Merger by Absorption (referred in the enclosed letter) is effective from June 1, 2020 and the Appointed Date of the Scheme is April 1, 2019.
